Terms And Conditions

1. Contractual Terms

The following provisions regulate the relationship between customers and RWDesign. They apply only if the customer is informed of them before the order is placed.

2. Written Form

Any deviations from these provisions must be made in writing to be valid.

3. Service Provision

RWDesign provides design, organizational, and administrative services within the scope of an assignment.
Our design services are charged based on the AGD collective agreement on pay for design (VTV Design).

4. Duty of Loyalty and Confidentiality

RWDesign pledges to complete all tasks carefully, conscientiously, and responsibly.
All customer information is treated with strict confidentiality.

5. Copyright

  • RWDesign retains the copyright to all created works (concepts, sketches, drafts, etc.).

  • Customers may not use or modify any work without RWDesign’s consent.

  • RWDesign may define the copyright notice format for its works.

6. Utilisation Rights

  • Rights are transferred to the customer upon full payment.

  • The scope of usage is limited to the agreed assignment.

  • Any use outside the contractual purpose or release of raw data requires RWDesign’s permission and additional payment.

  • Unless otherwise agreed, rights are unlimited in time and geography but restricted to the contract purpose.

7. Illegal Use

Illegal use of RWDesign’s copyright-protected works incurs a contractual penalty of CHF 10,000, without prejudice to further claims for damages.

8. Third-Party Materials

  • RWDesign assumes the customer has obtained permissions for third-party materials (designs, photos, texts, samples, electronic data).

  • The customer indemnifies RWDesign if third-party rights are infringed.

9. External Suppliers

RWDesign may commission third-party services at the customer’s expense to complete assignments.

  • All quotations for third-party work require customer approval in advance.

10. Document Storage

  • Assignment documentation and final artwork are stored for 1 year after completion/delivery.

  • Longer storage requires separate agreement.

  • For extensive work, proportional costs for additional storage may be charged.

11. Individual Presentations

  • Remuneration for individual presentations is agreed before work begins.

  • Otherwise, the AGD collective agreement applies.

12. Sample Copies

  • RWDesign receives 4 copies of all produced work (or appropriate number for valuable pieces) automatically.

  • RWDesign may use these as proofs of work or for publication.

13. Assignment Preparation Meeting

  • Initial design meetings are generally free of charge.

14. Billing & Payment

  • Guideline quotations and billing are based on AGD collective agreement and actual time spent.

  • Written individual quotations are recommended.

  • Additional costs due to changes in specifications will be notified in advance.

  • Invoices are payable within 10 days after assignment completion.

  • For long-term assignments, progress payments may be requested.

15. Reduction or Cancellation

If an assignment is reduced or cancelled:

  1. RWDesign may invoice work done to date.

  2. RWDesign may invoice expenses/third-party costs.

  3. RWDesign may invoice compensation for damages.

  4. RWDesign retains full utilisation rights for completed work.

16. Advisory and Mediation Commission

  • RWDesign may receive commission for obtaining quotes, placing orders, and controlling invoices.

  • Such costs must be passed on to the customer if charged.

17. Applicable Law

  • All relationships are governed by Swiss law.

  • Unless otherwise stated, Articles 394 et seq. of the Swiss Code of Obligations apply.

18. Place of Jurisdiction

  • The place of jurisdiction is the registered office of RWDesign.
